1. Introduction and Acceptance of Terms

Welcome to SuperFunnel! These Terms of Service ("Terms") govern your access to and use of the SuperFunnel website, application, and AI-powered SaaS platform (collectively, the "Service"). The Service is owned and operated by AI Marketing Agents LTD, an Israeli company doing business as SuperFunnel ("Company", "we", "our", or "us").

By accessing, registering for, or using the Service, you ("User", "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

Age Requirement: You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding contract.

2. Description of the Service

SuperFunnel is an AI-powered SaaS platform that allows users to generate, design, and host landing pages. The Service includes various tools, third-party integrations, and artificial intelligence models designed to assist in marketing and page creation.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@superfunnel.ai of any unauthorized use or security breach of your account. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Free Tier, Subscriptions, and Billing

4.1 Free Tier and AI Credits

SuperFunnel may offer a free tier that provides users with a limited number of "AI Credits" per month to explore the platform and generate landing page drafts. No upfront credit card is required to access the free tier. However, to publish ("go live") and host these pages on the internet, you must upgrade to a paid subscription plan. Free AI credits have no cash value and do not roll over unless otherwise specified.

4.2 Paid Subscriptions and Merchant of Record

Certain aspects of the Service are billed on a subscription basis. For standard, self-serve subscription tiers, payments are processed by our Merchant of Record, Lemon Squeezy. By entering your payment information, you authorize Lemon Squeezy and SuperFunnel to charge your payment method on a recurring basis (e.g., monthly or annually) according to your selected plan.

4.3 Enterprise Billing

For custom plans and enterprise contracts, billing and payments are handled via manual invoicing. Payment terms for enterprise accounts will be specified in the applicable ordering document or invoice.

5. Refund Policy

All sales are final. Due to the computational costs associated with generating AI content, paid subscription fees and purchases are non-refundable. We do not offer prorated refunds for canceled subscriptions. SuperFunnel reserves the right to grant refunds or exceptions strictly on a case-by-case basis at our sole and absolute discretion.

6. Artificial Intelligence and Data Usage

6.1 Third-Party AI Providers

The Service utilizes third-party Large Language Models (LLMs) and artificial intelligence providers, including but not limited to OpenAI, Anthropic, and Google Vertex, to generate content, insights, and designs.

6.2 Strict "No Training" Guarantee

We respect your proprietary data. SuperFunnel guarantees that your specific user inputs, prompts, imported designs, and the resulting generated landing pages are strictly not used to train SuperFunnel’s internal AI models, nor are they used by our third-party AI providers (OpenAI, Anthropic, Vertex) to train their foundational models.

7. User-Generated Content and Acceptable Use

7.1 Content Ownership

You retain all ownership rights to the text, images, and other content you upload or input into the Service to create your landing pages ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process your User Content solely for the purpose of operating and providing the Service to you.

7.2 Acceptable Use and Moderation

You are solely responsible for the content of the landing pages you publish using SuperFunnel. While SuperFunnel does not actively block or filter user-generated content or published pages upfront, you agree not to use the Service to host or transmit content that:

• Is illegal, fraudulent, or promotes illegal activities (e.g., phishing, scams, malware).

• Infringes upon the intellectual property rights of others.

• Is defamatory, obscene, highly offensive, or constitutes harassment.

7.3 Enforcement Rights

SuperFunnel reserves the absolute right to remove any content, take down hosted landing pages, or suspend/terminate user accounts at any time, instantly, with or without cause, and without prior notice or liability, at its sole discretion.

8. Intellectual Property and Feedback

8.1 SuperFunnel IP

Excluding your User Content, the Service and its original content, features, code, AI generation workflows, and functionality are and will remain the exclusive property of AI Marketing Agents LTD and its licensors.

8.2 User Feedback

We welcome your feedback, feature suggestions, and bug reports. However, by submitting feedback, you agree that SuperFunnel retains the exclusive right to use, implement, and commercialize any such feedback or ideas without any obligation, restriction, or financial compensation to you.

9. Copyright Infringement & DMCA Policy

We respect the intellectual property rights of others. If you believe that content hosted on a SuperFunnel-generated landing page infringes upon your copyright, please submit a detailed takedown request to our official contact: support@superfunnel.ai.

Your notice must include:

1. An electronic or physical signature of the copyright owner or authorized agent.

2. A description of the copyrighted work claimed to have been infringed.

3. The specific URL(s) on our Service where the infringing material is located.

4. Your contact information (email, phone, address).

5. A statement of good faith belief that the use is not authorized.

6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

10. Third-Party Integrations and Tools

The Service allows you to integrate with third-party tools (e.g., the SuperFunnel Figma plugin). When you use these integrations, you authorize the export and processing of your data from those third-party platforms into SuperFunnel. We are not responsible for the performance, privacy practices, or terms of any third-party services you choose to connect.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI MARKETING AGENTS LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI MARKETING AGENTS LTD, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE PAST SIX (6) MONTHS.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in Israel, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
